Our client is seeking a Corporate Governance Manager to join their team.
 
Role Profile:  To ensure that administration, company secretarial and general management services are provided to client companies/funds, consistently to a high standard of service.  To ensure that client companies/funds comply with the relevant governance framework, for the benefit of all stakeholders appropriate to its jurisdiction and structure type, to include applicable company law, policies, regulations, listing and market rules and guidelines.  To manage the day-to-day operations of the Corporate Governance team and ensure that all responsibilities of the team are met, ensuring that the team operates within all applicable regulations and guidelines, and with the Company's established policies/procedures.  
To promote professional development within the team, providing coaching, mentoring and support
for all members, as and where necessary. To seek new business opportunities for the growth of the Company both organic and inorganic. To support the Board, provide Vision and Mission.
 
Key Responsibilities:
Business Development
  • Manage the team to ensure that each Corporate Governance officer maintains a high level of service to existing clients.
  • Provide a point of contact and expertise, for new client queries, new business opportunities and attend new business meetings.
  • Provide a pivotal role in the onboarding of new business.
  • Provide assistance where required, with new business and marketing events.
Client Service and Operations
  • Manage the tasks undertaken by the team for the fund/company clients, ensuring that the team have the skills, procedures and facilities necessary to provide such services to a portfolio of fund/company clients, including but not limited to all statutory duties.
  • Ensure that the team have the relevant skills and knowledge necessary to enable the team members to support the clients with the administration of their companies, including but not limited to shareholder servicing, stock exchange operations, contract administration, Board meetings etc.
  • Ensure that the policies and procedures necessary for the team to undertake their roles are accurate, complete and reviewed on an annual basis.
  • Support other members of the Corporate Governance team by providing cover for their own portfolio of clients.
  • Carry out more specialised duties across all the Company's fund/company clients, as may be required for the efficient operation of the team
Accounting and Finance
  • Assist, where necessary, with the opening and operation of bank accounts of fund/company clients.
  • Assist and support the approval of clients' expenditure, e.g. directors' fees
  • Assistance in fulfilment of CRS/FATCA obligation, Economic Substance rules etc.
  • Assist in any fee review process for existing corporate governance clients.
People Management
  • Demonstrate effective management skills, providing the corporate governance team with the support necessary to fulfil their roles.
  • Provide the team with effective annual objectives, regular updates on their performance and prompt and effective feedback, where necessary.
  • Manage conflict resolution within the team
  • Act as a point of contact for the team, for both internal and external customers
  • Effectively manage the workload of the client portfolios and the division of this workload within the team.
  • Manage holidays, absences and, should they be necessary and approved by the Board, overtime requirements.
Regulatory and Compliance
  • Establish, review and ensure procedures and policies comply with relevant codes, best practice, legislative, regulatory and governance requirements and developments that impact the clients' activities.
  • Provide support to the team to ensure compliance with applicable codes and legislation, in particular, but not limited to, customer due diligence in accordance with the AML/CFT Rules and the
  • completion of risk assessments
  • Assist the Compliance Department in the fulfilment of their duties with regards to fund/company clients.
  • Monitor reporting requirements necessary to the corporate governance team, to ensure that all reporting is accurate and timely.
  • Keep abreast of pending and current changes to regulatory changes which may have an impact on corporate governance clients.
Data Protection
  • Assisting companies with compliance with the relevant Data Protection Legislation
 
Key Skills and Experience:  
  • A relevant professional qualification would be desirable, or studying towards a professional qualification with Chartered Governance Institute or ICA.
  • Highly effective management skills, both people and operational to ensure a productive environment, whilst supporting growth and development within the team
  • Excellent organisational, leadership and project management skills.
  • A working knowledge and understanding of fund administration, private and listed company administration, corporate structures and governance processes and procedures in conjunction with relevant legislation concerning collective investment schemes and closed ended/listed companies and the governance framework.
  • Working knowledge of all statutory related operating systems to be used by the Company.
  • Working knowledge of Stock Exchange listing rules, and Corporate Governance codes.
  • Knowledge and understanding of compliance issues as they relate to the provision of fund services.
  • Highly effective communication skills both verbal and written.
  • The ability to learn and adapt in an evolving governance environment with changing demands and priorities.
  • The ability to motivate, mentor, develop and lead staff
  • The ability to work under pressure, with the ability to manage own workload within specific
timing deadlines.
